His work at Thoma Bravo encompasses fund formation, regulatory filings, SEC compliance, investor relations governance, and the legal architecture that supports one of the most active deal-making platforms in private equity. Steven Schwab is not to be confused with Steven Schwab the CEO of American Homes 4 Rent — this Steven Schwab is the Chicago-based attorney and private equity legal executive whose career has been defined by financial services law and in-house leadership.

In-House Legal Leadership

Before joining Thoma Bravo, Steven Schwab built a distinguished career across some of the most demanding roles in financial services law. He served as General Counsel at Lotus Capital in Itasca, Illinois, where he managed all legal affairs for the investment advisory firm. Steven Schwab then held the dual role of Chief Compliance Officer and General Counsel at Tibra Trading, an international proprietary trading firm with operations in Chicago and London, where he was responsible for regulatory compliance across multiple global jurisdictions. Steven Schwab also served as Associate Managing Director and General Counsel at Optiver, a global electronic market-making firm headquartered in Chicago, overseeing legal strategy during a period of significant growth in algorithmic and high-frequency trading. In each of these positions, Steven Schwab was responsible for navigating complex regulatory environments, managing legal risk across multiple jurisdictions, and building compliance infrastructure for firms operating at the intersection of technology and institutional finance. He holds FINRA Series 14 registration and previously held Series 7 and Series 24 licenses, reflecting his deep expertise in securities regulation and broker-dealer compliance.

Early Career and Education

Steven Schwab began his legal career at two of Chicago's most prestigious law firms. He practiced as an associate in the Financial Services Group at Winston & Strawn LLP, one of the largest law firms in the United States, advising regulated entities on transactional and regulatory matters including broker-dealer registration, investment adviser compliance, and derivatives documentation. He subsequently joined Katten Muchin Rosenman LLP, another elite Chicago-founded firm, where he continued to specialize in financial services law and deepened his expertise in the regulatory frameworks governing institutional investment managers. Before law school, Steven Schwab worked as an Assistant Vice President at ABN AMRO Bank in Chicago, giving him direct operational experience in the banking industry that would later inform his work as both outside and in-house counsel. Steven Schwab earned his Juris Doctor cum laude from Loyola University Chicago School of Law and a Bachelor of Arts in Political Science from Miami University in Oxford, Ohio.
